Partner Programme Agreement

1.Parties and Acceptance

This Partner Programme Agreement (the "Agreement") is entered into between Scholify, the online ACCA study service operated at scholifyapp.com by Flowlify LLC (referred to as "Scholify", "we", "us"), and the person or entity whose partner application is activated (the "Partner", "you").

You accept this Agreement by (a) ticking the acceptance box on the partner application, or (b) using your Partner Link or partner dashboard after approval — whichever happens first. If you do not agree, do not participate in the Programme.

3.Joining the Programme

1. Application. Anyone may apply at scholifyapp.com/partners/apply. You must provide accurate information and be at least 18 years old (or the age of majority where you live).
2. Instant activation. Applications are activated automatically on submission: your partner code and referral link are issued immediately and emailed to you. Scholify retains the right to review any account after activation and to suspend or revoke it at its reasonable discretion — in particular for breach of Section 7 or inaccurate application information. Commissions accrue only while your partner status is active.
3. One account. One partner account per person or entity. Duplicate or fake accounts may be removed and their commissions voided.

4.Attribution

1. First touch, 90 days. When a visitor opens your Partner Link, your code is remembered on their device for 90 days. The first valid partner touch wins; a later partner's link does not displace it during that period.
2. Permanent at registration. When that visitor creates a Scholify account within the 90-day window, the referral becomes permanently attributed to you.
3. Technical basis. Attribution relies on the visitor's browser storage and our tracking systems operating normally. Purchases that cannot be technically attributed (for example, because the visitor cleared storage, used a different device or blocked storage) do not generate commissions. Scholify's records are decisive, applied in good faith.
4. No self-referrals. Purchases made by you, through your own accounts, on your own devices, or for your own benefit do not qualify and are void.

5.Commissions

1. Rate. You earn the Commission Rate fixed for each Referred Learner under Section 5.2 — 27%, 30%, 33% or 37% — of that learner's First Payment. Where Scholify has recorded a higher individual rate on your partner account, that higher rate applies in place of a lower Tier rate; the Tier rate is never reduced by it.
2. Tiers — Commission Rate. Each Referred Learner's Commission Rate is fixed at the moment of their first Qualifying Payment, based on how many Unique Paid Learners you have at that moment (counting that learner):

   Tiers are prospective only: reaching 300, 500 or 1,000 does not change the rate already locked on earlier Referred Learners. Your 300th, 500th and 1,000th paid learners themselves receive the higher Tier. Elite is the final Tier: the Commission Rate does not rise above 37% however many further learners you refer; volume beyond it is recognised through the Performance Rewards in Section 8.
3. One commission per learner. Commission is payable on a Referred Learner's First Payment only — the monthly price where the learner starts on a monthly plan, the full annual charge where they start on an annual plan. Subsequent monthly payments, annual renewals, plan changes and re-subscriptions by the same learner do not generate further commissions.
4. Actual collection. A commission is created only when the First Payment is actually collected by Scholify's payment processor. No commission is owed on a payment that never happened.
5. Validation Hold. Each commission is pending for 30 days from creation. A refund or chargeback of the underlying payment voids the related commission at any time before it is paid out.
6. Calculation. Commissions are calculated in the currency of the underlying payment (normally USD), on the amount actually collected, rounded to the nearest cent per commission. Your dashboard at scholifyapp.com/partners is the live record of clicks, referrals, commissions and their statuses.

6.Payouts

1. When. Commissions that have passed the Validation Hold and remain valid become payable. Payouts run monthly: payable balances of USD 50 or more are paid during the first week of each calendar month; balances below USD 50 roll over to the following month without expiring. Each payout is recorded against your account with a payout reference visible in your dashboard.
2. How. Payouts are made by bank transfer, Wise or PayPal, as agreed with you. You must provide accurate payout details when requested; Scholify is not responsible for delays caused by missing or incorrect details.
3. Notifications. Scholify emails you when each commission is recorded and sends a weekly summary of your activity and balances. These are service messages inherent to the Programme.
4. Taxes. You are an independent contractor, not an employee, agent or representative of Scholify. You are solely responsible for declaring and paying any taxes or social charges on your commissions in your jurisdiction.
5. Errors. Manifest errors (double-counting, technical duplication, commissions on voided payments) may be corrected by adjusting unpaid balances, with an explanation in your dashboard or by email.

7.Promotion Rules

The Programme pays for honest introductions, not for manufactured traffic. You agree that you will not:

• make false or misleading claims about Scholify — including guarantees of exam success, guaranteed income from the Programme, or any suggestion that Scholify is affiliated with or endorsed by ACCA;
• bid on or register "Scholify", "scholifyapp" or confusingly similar terms in paid search, domains, apps or social handles, or impersonate Scholify in any channel;
• send spam (unsolicited bulk messages) in any channel, or post your link in ways that violate a platform's own rules;
• use cookie stuffing, forced clicks, hidden iframes, toolbars, typosquatting or any mechanism that attributes visitors who did not knowingly click your link;
• offer unauthorised rebates, cash-backs or side-payments to induce sign-ups, or misrepresent Scholify's prices or refund policy;
• promote to or collect data from children, or use Scholify learner data for any purpose (you receive only aggregated statistics and never learner personal data).

Disclosure. Wherever you promote your Partner Link, you must clearly disclose that you may earn a commission (for example, "partner link" or "#ad"), as required by advertising-disclosure rules such as the US FTC Endorsement Guides and their local equivalents.

Violation of this Section is a material breach: Scholify may revoke your partner status and void commissions that have not yet been paid out, in addition to any other remedy.

8.Performance Rewards

1. From time to time Scholify publishes additional performance rewards on the Programme pages (for example, event tickets or trips tied to published sales targets and deadlines). Rewards are promotional benefits in addition to commission; targets, deadlines, qualifying-sale definitions and verification are as published on the Programme page at the time.
2. Rewards are non-transferable, have no cash alternative, and require that your account is active and in good standing at verification. Where a reward involves travel, you are responsible for your own travel eligibility (passport, visas); if an event becomes unavailable, Scholify may substitute a reward of at least equal value.
3. Event names may be trademarks of their owners; rewards are provided by Scholify and are not sponsored or endorsed by any event organiser.

9.Brand and Licence

Scholify grants you a limited, revocable, non-exclusive, non-transferable licence to use the Scholify name, logo and the marketing assets we provide, solely to promote Scholify under this Agreement. You may not alter the marks, use them in a misleading way, or continue using them after the Agreement ends. All goodwill from such use belongs to Scholify. Scholify is an independent study tool; ACCA is a registered trademark of the Association of Chartered Certified Accountants, and no affiliation or endorsement is implied.

10.Changes to the Programme

Scholify may amend this Agreement, the commission structure or the Programme prospectively — for example to adjust tiers, rewards or rules — by publishing the updated version at the address in the header and, for material changes, notifying active partners by email or dashboard notice at least 14 days in advance. Changes are never retroactive: Commission Rates (and, for Referred Learners who first paid before 5 September 2026, the earning windows then in force) already locked on Referred Learners who have paid, and commissions already recorded, are honoured under the terms in force when they were created. Your continued participation after the effective date is acceptance of the updated terms.

11.Term and Termination

1. Either party may end this Agreement at any time, with or without reason, by notice (email is sufficient; Scholify may also deactivate the partner account).
2. On termination other than for your material breach or fraud, commissions that were validly recorded before termination continue through the Validation Hold and, if still valid, are paid out. No new attribution or commissions arise after termination.
3. On termination for material breach or fraud, unpaid commissions are forfeited to the extent permitted by law.
4. Sections 6.3, 7, 9 and 12–15 survive termination.

12.Confidentiality and Data

Non-public information about the Programme, your commission details and any materials marked confidential must be kept confidential. You receive only aggregate statistics about your referrals — never learner names, emails or study data. Each party complies with the data-protection laws applicable to it.

13.Disclaimers and Liability

1. The Programme, dashboards and tracking are provided "as is". Scholify does not warrant uninterrupted or error-free operation of tracking, and does not guarantee any level of traffic, conversion or earnings. Any example calculations on Programme pages are arithmetic illustrations, not promises of results.
2. To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental or consequential damages, and Scholify's total liability under this Agreement is capped at the total commissions paid to you in the 12 months before the event giving rise to the claim.
3. Nothing in this Agreement excludes liability that cannot lawfully be excluded.

14.General

1. Independent contractor. Nothing here creates employment, agency, partnership (in the legal sense) or a joint venture. You may not make commitments on Scholify's behalf.
2. Assignment. You may not assign this Agreement; Scholify may assign it to a successor of the Scholify service.
3. Entire agreement. This Agreement, together with the Programme pages it references, is the entire agreement about the Programme and replaces earlier discussions and pre-launch invitations.
4. Severability. If a provision is held invalid, the rest remains in force.
5. Notices. Notices go by email — to Scholify at info@scholifyapp.com, to you at the address on your application (or your account email). The English version of this Agreement controls.

15.Governing Law and Disputes

This Agreement is governed by the laws of the jurisdiction in which the Scholify service operator is registered at the time a dispute arises, without regard to conflict-of-law rules. The parties will first attempt in good faith to resolve any dispute by negotiation within 30 days of written notice; failing that, disputes are submitted to the competent courts of that jurisdiction. You and Scholify each bear your own costs of negotiation.
